Terms of Service

These Terms of Service ("Terms") govern your use of the Shadower web application and website at shadower.trade ("Service"), operated by Danil Shadrin, a sole operator based in Serbia, trading as "Shadower" ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Shadower is a cloud-based web application that monitors selected Polymarket trader wallets on the Polygon blockchain and automatically replicates their trades on your behalf to a Polymarket wallet you connect. The trading bot runs on our servers 24/7 — you do not need to install software or keep a computer running. The Service is provided "as is" and is intended for informational and automation purposes only.

An optional desktop application is also offered. When you use the desktop version, your private key is stored locally on your own computer rather than on our servers; the custodial provisions in Section 4 apply only to the web Service.

2. Eligibility

• You must be at least 18 years old to use Shadower
• You must be legally permitted to use prediction markets and automated trading tools in your jurisdiction
• You must not be located in, or a resident of, any jurisdiction where use of Polymarket or of automated trading services is prohibited or restricted
• By using the Service, you represent and warrant that you meet these requirements

3. Not Financial Advice

Nothing in the Service or on shadower.trade constitutes financial, investment, legal, or tax advice. You are solely responsible for your trading decisions and for selecting which traders to copy. We strongly recommend:

• Starting with a small amount before scaling up
• Only depositing funds you can afford to lose
• Researching any trader before copying them
• Understanding that prediction markets are inherently speculative

4. Custody of Keys and Funds

Because the Service holds your key, it is technically able to sign transactions for the connected wallet. By design:

• We use this ability solely to replicate trades according to the settings and limits you configure.
• Our system does not initiate withdrawals or transfers of your funds to any external address.
• You remain the sole owner of the wallet and its funds. You may stop the bot and remove your key from the Service at any time.

5. Subscription and Payment

Free Trial: New accounts receive a free 3-day trial, limited to 20 copied trades — whichever limit is reached first. No payment information is required for the trial.

Paid Plans:

• Monthly plan: $27 per month
• Yearly plan: $319 per year ($26.58/month equivalent)
• Prices are in USD and may change with 30 days' notice to existing subscribers

Payment method: Subscriptions are paid in cryptocurrency, processed by NOWPayments. We do not collect or store your card details.

Billing: Subscriptions are paid in advance for the selected period. Access is granted for the period you pay for.

Cancellation: You may stop using the Service at any time. Because plans are prepaid for a fixed period, stopping use does not trigger an automatic refund of the remaining period unless required by law.

Refunds: We offer a refund within 48 hours of the initial purchase if the Service did not function as described. Contact support@shadower.trade. Renewals and crypto payments are generally non-refundable. Refunds are processed at our discretion and subject to the volatility and irreversibility of cryptocurrency transactions.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of Polymarket's Terms of Service
• Attempt to reverse-engineer, probe, or interfere with the Service or its infrastructure
• Share, resell, or sublicense your Shadower account or subscription
• Use automated tools to create multiple accounts or abuse the free trial
• Attempt to circumvent any account restrictions, rate limits, or subscription checks
• Provide a private key to a wallet you are not authorized to control

7. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any trading losses, missed trades, or financial damages arising from use of the Service
• We are not liable for losses caused by blockchain delays, network congestion, Polymarket downtime, third-party provider outages, or internet connectivity issues
• We are not liable for losses caused by the traders you choose to copy
• We are not liable for losses you incur by funding a connected wallet with more than you intended to trade, contrary to our dedicated-wallet recommendation
• Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 3 months prior to the claim

8. Service Availability

We aim to keep Shadower available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues. If our key-management provider becomes unavailable, the bot is designed to fail safe (stop trading) rather than trade blindly. We are not liable for any losses caused by Service downtime or trades not executed during downtime.

9. Updates and Changes

• We may update the Service from time to time, including features and infrastructure.
• We reserve the right to modify or discontinue features of the Service with reasonable notice.
• We may update these Terms. Continued use of the Service after changes constitutes acceptance.

10. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity (e.g. chargebacks, trial abuse)
• Use the Service in a way that harms other users or third parties

Upon termination, your access ends and your stored key is removed from active use. You are responsible for moving funds out of any connected wallet.

11. Third-Party Services

Shadower integrates with the following third parties. We are not affiliated with them and are not responsible for their availability, terms, or actions. Your use of these services is governed by their respective terms.

• Polymarket — the prediction market on which trades are placed
• Supabase — authentication and account database
• AWS Key Management Service — encryption and key management for stored private keys
• NOWPayments — cryptocurrency payment processing
• Cloudflare — content delivery and infrastructure

12. Intellectual Property

Shadower, its logo, and all associated software are owned by us. You are granted a personal, non-transferable, non-exclusive license to use the Service for personal trading purposes. You may not redistribute, resell, or create derivative works from the software.

13. Governing Law and Disputes

These Terms are governed by the laws of Serbia, the place of the operator's establishment, without prejudice to any mandatory consumer-protection rights you may have in your country of residence. Any disputes shall first be addressed through good-faith negotiation; if unresolved, through binding arbitration. You agree that the Service is offered only where lawful, and that you are responsible for compliance with the laws of your own jurisdiction.
